Terms of Service

These Terms of Service ("Terms") govern your access to and use of MyOutDesk Grow (the "Service"), operated by MyOutDesk, LLC ("MyOutDesk," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to the organization.
1. The Service
The Service provides team workspaces for running structured meetings and managing goals, metrics, issues, to-dos, and related content, synchronized in real time. We may add, change, or remove features over time.
2. Accounts and Eligibility
- You must be at least 16 years old and use the Service for business purposes.
- Accounts are created through Google Sign-In. You are responsible for safeguarding access to your Google account.
- You are responsible for activity that occurs under your account and for ensuring your teammates comply with these Terms.
3. Your Content
You retain all rights to the content you and your team create or upload in the Service ("Customer Content"). You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Customer Content solely to provide the Service. We do not use Customer Content for advertising and we do not sell it.
You are responsible for Customer Content, including having the necessary rights to share it, and for ensuring it does not violate any law or these Terms. Certain content is ephemeral by design: images shared during a meeting's check-in are permanently deleted when the meeting ends.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload malicious code or content that infringes intellectual property, privacy, or other rights of any person;
- Attempt to gain unauthorized access to the Service, other accounts, or workspaces you do not belong to;
- Probe, scan, or test the vulnerability of the Service without our prior written consent;
- Interfere with the Service's operation, including by imposing an unreasonable load on our infrastructure;
- Resell, sublicense, or provide the Service to third parties except to members of your own organization.
5. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to that collection and use.
6. Intellectual Property
The Service, including its software, design, and branding, is owned by MyOutDesk and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
7. Third-Party Services
The Service integrates with third-party services such as Google Sign-In. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
8. Termination
You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYOUTDESK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
11. Indemnification
You will indemnify and hold harmless MyOutDesk from claims, damages, and expenses (including reasonable attorneys' fees) arising from Customer Content or your violation of these Terms or applicable law.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Sacramento County, California, and you consent to their jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
